By accessing or using the services provided by Prism Data Labs LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
Services Description
Prism Data Labs LLC provides:
- PrismBridge: Self-hosted data migration and ETL software
- Web Design Services: Custom website design, development, and hosting

User Responsibilities
When using our services, you agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Use our services only for lawful purposes
- Not interfere with or disrupt our services

Intellectual Property
All content, software, and materials provided through our services are owned by Prism Data Labs LLC or our licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
For web design services, ownership of custom designs and code will be transferred to you upon full payment as specified in your service agreement.
Payment Terms
Payment terms vary by service:
- Web Design: Payment schedules are outlined in your project quote. Monthly hosting fees are billed in advance.
- PrismBridge: Licensing terms are specified in your software license agreement.
Late payments may result in suspension of services until payment is received.
Service Availability
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform scheduled maintenance or updates that temporarily affect service availability.
Limitation of Liability
To the fullest extent permitted by law, Prism Data Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount you paid for the services in question.
Indemnification
You agree to indemnify and hold harmless Prism Data Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these terms.
Termination
Either party may terminate services as specified in individual service agreements. Upon termination:
- You remain responsible for any outstanding payments
- We will provide reasonable assistance in transitioning your data or services
- Certain provisions of these terms will survive termination
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law provisions.
Changes to Terms
We reserve the right to modify these Terms of Service at any time. We will notify you of significant changes by posting the updated terms on our website. Your continued use of our services after changes constitutes acceptance of the modified terms.
